Certificate of Good Standing – All You Need to Know

A Certificate of Good Standing, also known as a Certificate of Existence or Certificate of Authorisation, is an official document that attests to a company’s or individual’s compliance with the legal requirements of the appropriate regulatory body, as well as their ability to operate or practise. This blog covers all you need to know about obtaining a Certificate of Good Standing.

What is the purpose of the certificate of Good Standing in Business?

The government’s official registrar of businesses, such as Companies House in the UK or the Secretary of State in the US, issues a Certificate of Good Standing to a limited company. It confirms:

  • Active Status – Since its incorporation, the business has operated continuously and without interruption.
  • Compliance – The business has fulfilled its legal filing requirements, including submitting the necessary paperwork on time (confirmation statements and annual accounts) and paying all required fees.
  • Legal Status – The registrar is not taking any steps to remove the firm from the register or dissolve it at this time.

Third parties often ask for a Certificate of Good Standing to confirm a company’s legality and compliance, particularly in the following circumstances:

  • Establishing a branch abroad or engaging in trade or contracts with foreign businesses are examples of international business.
  • Opening a new business bank account (see our guide on how to open a business bank account abroad) or submitting an application for a business loan.
  • Establishing credibility with possible clients, partners, or investors.

Professional Certificate Good Standing

To verify that licensed professionals (such as doctors, solicitors, or barristers) are eligible to practise and have no history of professional misconduct, professional regulatory agencies also issue Certificates of Good Standing. Usually, this is required when:

  • Applying to qualify in a different jurisdiction, or taking on a case abroad, is known as “practising abroad.”
  • Continuing to be a member of a professional association.

A Good Standing Certificate” is, in essence, a crucial document that formally attests to a business or professional’s legal recognition, compliance, and up-to-date regulatory duties.

This official confirmation is critical because it provides immediate assurance to potential investors, banks, partners, and foreign authorities that the entity is stable, trustworthy, and not at risk of dissolution or sanctions. Furthermore, by certifying that all annual reports, fees, and statutory filings are up to date, the certificate serves as vital proof of legitimacy, often a non-negotiable requirement for major financial transactions, international expansion, or securing high-value contracts, which is recognised in countries that are party to the Hague Apostille Convention.
